GRAPHCO TECHNOLOGIES ACQUIRES GTE DIVISION TO ENHANCE SECURE DATABASE CAPABILITY

NEWTOWN, PA., April 4, 2000 - Graphco Technologies, Inc. has acquired the assets of Law Enforcement Services, a division of a GTE subsidiary, Graphco Technologies announced today. Law Enforcement Services oversees the operation of several state-of-the-art security technology products and systems, most notably FaceTrac, a facial biometric security system, and The Bastille™, a secure data-sharing system designed specifically to enable criminal investigators to track and analyze criminal activity through an encrypted nationwide network. The acquisition of Law Enforcement Services significantly enhances G-TEC's already strong position as an innovator of secure database and secure communications solutions," said Cris Ivanescu, Chairman and CEO of Graphco Technologies (G-TEC). "We are thrilled with the addition of The Bastille™'s state-of-the art secure data center to our product line."

GRAPHCO TECHNOLOGIES, INC. ANNOUNCES THE ACQUISITION OF E-COMMERCE TECHNOLOGY DEVELOPED BY NASA'S JET PROPULSION LABORATORY (JPL) THROUGH A MERGER WITH UTEK CORPORATION'S SUBSIDIARY DIGITAL PERSONNEL, INC.

PLANT CITY, FL, NEW YORK, NY and PASADENA, CA, March 24th, 2000 - UTEK Corporation, a U2B business development company dedicated to building a strong bridge between university technology and commercial organizations announced today the merger of its Digital Personnel, Inc. (DPI) subsidiary with VoicePass™ Security Systems, Inc., a wholly-owned subsidiary of Graphco Technologies, Inc. Prior to the merger, DPI was 70% owned by UTEK Corporation and 30% owned by the California Institute of Technology (Caltech).

As a result of this merger, Graphco Technologies, Inc., will acquire the exclusive worldwide license to a patent- pending technology that makes it possible to synthesize photo realistic talking individuals for e-commerce and e-support. This technology was developed at NASA's Jet Propulsion Laboratory (JPL), an operating division of the California Institute of Technology (Caltech). As part of the acquisition, Graphco Technologies, Inc. will continue to fund the collaborative refinement of this technology at JPL. The US Patent Trademark Office has recently issued a Notice of Allowance on this technology.
